1. General Provisions

1.1. These Terms and Conditions govern the sale of goods through the online store operated by PRODUCTIVE TOOLS s.r.o. (the "Seller").

1.2. The online store is intended exclusively for business customers purchasing goods in connection with their business activities (the "Buyer"). It is not intended for consumer purchases.

1.3. When placing an order, the Buyer must provide its business name, company identification number or equivalent foreign identifier, billing and delivery addresses, and contact details. The Buyer must also provide its VAT identification number, if assigned. The Buyer is responsible for the accuracy of the information provided.

1.4. Individual written agreements between the Seller and the Buyer take precedence over these Terms and Conditions.

2. Orders and Formation of the Contract

2.1. Product listings in the online store are for information purposes and do not constitute a binding offer to enter into a contract. Section 1732(2) of the Czech Civil Code shall not apply.

2.2. Before submitting an order, the Buyer must check the product designation, quantity, price, delivery method and billing details.

2.3. By submitting an order, the Buyer makes an offer to enter into a purchase contract and confirms that it has read these Terms and Conditions.

2.4. An automated acknowledgement of receipt of an order does not constitute acceptance of the order. The purchase contract is formed only when the Seller expressly accepts the order by email.

2.5. If an order cannot be fulfilled, the Seller will contact the Buyer and propose a solution. Any change to the goods, price or other agreed terms requires the Buyer's consent.

3. Prices and Payment Terms

3.1. Prices displayed in the online store exclude VAT. VAT will be charged in accordance with applicable legislation. The total price, including any applicable VAT and delivery charges, will be displayed before the order is submitted.

3.2. For orders in EUR, the price and currency confirmed by the Seller shall apply. Any currency conversion must be agreed before the contract is formed.

3.3. Payment may be made by advance bank transfer, by invoice with deferred payment under the rules below, or by cash on delivery subject to prior agreement and carrier availability.

3.4. Unless otherwise agreed in writing, the following payment terms apply:

  • The first order must be paid in advance, before dispatch.
  • The next three orders are payable within 14 days of the invoice date.
  • From the fifth order onwards, invoices are payable within 30 days of the invoice date.

3.5. The granting and continuation of deferred payment terms are conditional on full and timely payment of previous invoices. If the Buyer is in arrears, the Seller may require advance payment for subsequent orders. This requirement will be communicated before those orders are accepted.

3.6. The Seller's bank accounts held with ČSOB are:

  • CZK: 277074467/0300
  • EUR: 277249837/0300

For international payments, the Seller will provide the IBAN and BIC in the payment instructions or on the invoice.

3.7. The Buyer must include the payment reference specified in the payment instructions. Payment is deemed completed when the amount is credited to the Seller's bank account.

3.8. Invoices are sent electronically. In the event of late payment, the Seller may claim statutory late-payment interest and statutory debt recovery costs.

4. Shipping and Delivery

4.1. Goods are delivered within the Czech Republic and the Slovak Republic. Delivery is provided by Balíkovna or DHL, depending on service availability for the particular shipment and address.

4.2. Available delivery methods and charges are shown during checkout. Special delivery arrangements require prior agreement.

4.3. The delivery period depends on product availability and is stated in the order confirmation. For advance payments, dispatch is conditional on receipt of payment.

4.4. If a delay becomes apparent, the Seller will inform the Buyer and explain the expected next steps.

4.5. Upon delivery, the Buyer must inspect the condition of the shipment. Any visible damage should be recorded with the carrier and reported to the Seller. This does not affect rights relating to hidden defects.

4.6. The Buyer bears the cost of repeat delivery caused by incorrect information or other circumstances attributable to the Buyer.

5. Special Offers and Promotional Sets

5.1. The contents of a promotional set, its total price and the applicable offer conditions are stated in the relevant product description.

5.2. The offer "milling cutter for CZK 1 with the purchase of 50 indexable inserts" entitles the Buyer to purchase one specified milling cutter for CZK 1 excluding VAT when simultaneously purchasing 50 inserts that meet the conditions of the particular offer.

5.3. The price of CZK 1 applies only to the milling cutter purchased as part of the promotional set. The inserts are charged separately or included in the total set price displayed on the product page.

5.4. The promotional milling cutter cannot be ordered separately at this price. The exact insert designation and any permitted combination of insert versions must be stated in the offer or agreed in writing by the Seller.

5.5. Offers remain valid for the period stated or until the stock allocated to the promotion is exhausted. Ending an offer does not affect contracts already formed.

5.6. Any voluntary return of part of a promotional set and any resulting price adjustment require a written agreement. This does not restrict the Buyer's statutory rights relating to defective goods.

6. Use of Tools and Technical Advice

6.1. The Buyer must use the goods in accordance with their intended purpose, the manufacturer's documentation and applicable safety requirements.

6.2. Recommended cutting parameters are starting values and must be adjusted to suit the workpiece material, machine, workholding, coolant and other machining conditions.

6.3. No specific tool life or productivity level is guaranteed unless expressly agreed in writing.

7. Complaints and Rights Relating to Defective Goods

7.1. Rights relating to defective goods are governed by the applicable provisions of the Czech Civil Code concerning sales between businesses.

7.2. The Buyer must inspect the goods as soon as reasonably possible after receipt and notify the Seller of any defects without undue delay.

7.3. Complaints may be submitted by email to tcs@productive-tools.eu or to the Seller's address. The Buyer should provide the order or invoice number, product designation, a description of the defect and the requested remedy. Photographs should be included where appropriate.

7.4. Where necessary to assess a complaint, the Buyer must allow inspection of the goods or provide them to the Seller.

7.5. Normal tool wear does not constitute a defect. Damage caused by improper use, unsuitable cutting parameters, incorrect clamping, collision or unauthorised modification does not constitute a defect for which the Seller is responsible where those circumstances caused the damage.

7.6. The Seller will assess the complaint and inform the Buyer of the outcome and remedy without undue delay, taking into account the nature of the defect and any need for assessment by the manufacturer.

7.7. A quality guarantee beyond statutory rights is provided only if expressly stated in a guarantee declaration or agreed in writing.

8. Cancellation and Returns

8.1. A Buyer purchasing in the course of business does not have the consumer right to return goods within 14 days without giving a reason.

8.2. Cancellation of an existing contract or return of non-defective goods is possible only by prior written agreement with the Seller. The agreement will specify the return conditions and any associated costs.

8.3. This does not affect either party's statutory rights to withdraw from the contract, particularly in the event of a breach of contract.

9. Ownership and Personal Data

9.1. Ownership of the goods passes to the Buyer upon full payment of the purchase price.

9.2. Information on the processing of personal data is provided in the separate Privacy Policy published on the Seller's website.

9.3. Acceptance of these Terms and Conditions does not in itself constitute consent to marketing communications or the storage of non-essential cookies.

10. Final Provisions

10.1. Contractual relationships are governed by the laws of the Czech Republic. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

10.2. The parties will first seek to resolve any dispute by mutual agreement.

10.3. Changes to these Terms and Conditions do not affect contracts formed before the changes take effect.

10.4. For orders placed through the English version of the online store, the Seller will provide the corresponding English version of these Terms and Conditions before the contract is formed.
